1. Introduction & Acceptance
Welcome to MGR Solutions. These Terms of Service govern your use of our website (mgr.co.ke), portal accounts, and the procurement of our technical services, including IT infrastructure, structured cabling, CCTV security, custom software development, Point of Sale (POS) systems, and solar energy installations. By engaging our services or using our platform, you agree to be bound by these terms.
2. Service Quotations & Project Scope
All project scopes, site surveys, equipment configurations, and pricing quotations are valid for 30 days unless otherwise specified. Work commences upon receipt of an agreed deposit or official purchase order. Any modifications to project scope requested after deployment has begun may incur additional labor and material costs.
3. Hardware, Solar & Installation Warranties
Physical hardware, solar panels, inverters, lithium batteries, and CCTV equipment carry manufacturer warranties, which MGR Solutions will help facilitate. Our workmanship warranty covers installation labor for a period of 6 months. MGR Solutions is not liable for equipment failure resulting from power surges originating from utility grids, lightning strikes, unauthorized tampering, or external environmental damage.
4. Software Licensing & Custom Development
Custom software, web applications, and Point of Sale (POS) systems developed by MGR Solutions remain our intellectual property until final settlement of project fees, upon which a non-exclusive license is granted to the client. Clients are strictly prohibited from reverse-engineering, reselling, or distributing proprietary software frameworks supplied by MGR Solutions.
5. Limitation of Liability
To the maximum extent permitted by Kenyan law, MGR Solutions shall not be liable for any indirect, incidental, or consequential damages, including loss of business revenue, data loss during power failures, or downtime arising from third-party internet service provider (ISP) outages.
6. Governing Law
These terms are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts located in Nairobi, Kenya.
